End-User License Agreement
This End-User License Agreement (“Agreement”) is between Groff Holdings Corporation d/b/a Creative Design (“Creative Design”, “we”, “us”) and each person who uses Olive Designer Studio (“Olive”, “the App”). By signing in to or using the App you agree to this Agreement. If you do not agree, do not use the App.
1. Who may use the App
The App is an internal tool. Only employees and other individuals Creative Design has authorized, and assigned an Olive role, may use it, and only for Creative Design’s business.
2. License
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App for Creative Design’s internal business purposes: job management, budgeting and invoicing, including its integration with QuickBooks Online. The App and all rights in it remain ours.
3. Restrictions
You may not:
- Copy, modify, distribute, sell, rent, lease, sublicense or transfer the App or any part of it
- Reverse engineer, decompile or disassemble the App, or attempt to derive its source code
- Share your sign-in, or let anyone use the App on your behalf
- Access data or functions your assigned role does not permit, or attempt to bypass the App’s security
- Use the App for any unlawful purpose, or to transmit harmful code
- Access the App with automated tools without our permission
4. QuickBooks Online
The App works with Creative Design’s QuickBooks Online company through Intuit’s APIs. QuickBooks Online is provided by Intuit under Intuit’s own terms and privacy policy. We are not responsible for the availability or accuracy of QuickBooks Online.
5. Privacy
Our Privacy Policy describes the information the App uses and how it is protected, and is part of this Agreement.
6. Disclaimer
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATIVE DESIGN IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM USE OF THE APP, EVEN IF ADVISED OF THEIR POSSIBILITY.
8. Termination
We may suspend or end your access at any time, including when your role or employment changes. Your license ends when your access ends.
9. Governing law
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Tarrant County, Texas.
10. Changes
We may update this Agreement. Changes are posted on this page with a new effective date, and continued use of the App means you accept them.
